        §1. Acknowledgment of our Conditions.
    By paying the subscription fee for our services you accept without any restrains our Terms and Conditions hereafter presented.

        §2. Account Set up.
    We will set up your account after we have received payment and we and/or our payment partner(s) have screened the order(s) in case of fraud. It is your responsibility to provide us with an email address which is not @ the domain name(s) you are signing up under.

        §3. Content.
    All services provided by us may only be used for lawful purposes. This includes, but not limited to: copyrighted material, material we judge to be threatening, obscene, or pornographic. This include, but is not limited to:  IRC Bots, Adults Sites, Warez Sites, Pirated Software, Hate sites, Hack programs and archives. Any attempt of breaching this policy will automatically, and without any notice, result in suspension of your account and withhold of your founds. We reserve the rights to judge the content of hosted websites. Customers are kindly reminded to check the issue with our representative before using our server for unauthorised artwork.

        §4. Zero Tolerance Spam Policy.
    We take a zero tolerance stance against sending of unsolicited e-mail, bulk emailing, and spam. "Safe lists" and "double option" will be treated as spam. Any user who sends out spam will have their account terminated without notice. We reserve the right to require changes or disable as necessary any web site, account, database, or other component that does not comply with this policy, at its sole discretion. We also reserves the right to make any such modifications in an emergency at our sole discretion.
    We  reserve the right to charge the holder of the account used to send any unsolicited e-mail a clean up fee. This cost of the clean up fee is left entirely to the discretion of HPSolution All rights reserved.

        §5. Payment Information.
    You agree to supply appropriate payment for the services received from us, in advance of the time period during which such services are provided. You agree that until and unless you notify HPSolution.co.uk of your desire to cancel any or all services received, those services will be billed on a recurring basis.
    We reserve the right to change the monthly payment amount and any other charges at anytime.

       §6. Backups and Data Loss.
    Your use of the service is at your sole risk. We are not responsible for files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on our servers.

        §7. Cancellation and Refunds.
    We reserve the right to cancel the account at any time.
    Customers may cancel at any time.
    We give  you an unconditional 30 day money back guarantee on managed shared hosting. Refund requests after 30 days will be refunded on a prorated basis of any unused time.
    Only first-time accounts are eligible for a refund. For example, if you've had an account with us before, cancelled and signed up again, you will not be eligible for a refund or if you have opened a second account with us.

        §8. Resource Usage.
    Users may not initiate the following:
    a) Use 25% or more of system resources for longer then 90 seconds. There are numerous activities that could cause such problems; these include: CGI scripts, FTP, PHP, HTTP, etc.
    b) Run any type of interactive real-time chat applications that require server resources. Remotely-hosted services are fully allowed.
    c) Run stand-alone, unattended server-side processes at any point in time on the server. This includes any and all daemons, such as IRCD.
    d) Run any software that interfaces with an IRC (Internet Relay Chat) network.
    e) Run any gaming servers such as counter-strike, half-life, battlefield1492, etc.

        §9. Bandwidth Usage.
    You are allocated a monthly bandwidth allowance. This allowance varies depending on the hosting package you purchase. Should your account pass the allocated amount we reserve the right to suspend the account until the start of the next allocation, suspend the account until more bandwidth is purchased at an additional fee, suspend the account until you upgrade to a higher level of package, terminate the account and/or charge you an additional fee for the overages. Unused transfer in one month cannot be carried over to the next month.

        §10. Money back Guarantee.
    On dedicated servers, and collocation no full refund will be honoured, the 30 day money back guarantee does not apply. We reserve the right to refund a prorated amount or no refund at all.

        §11. Price Change.
    The amount you pay for hosting will never increase from the date of purchase. We reserve the right to change prices listed on our site, and the right to increase the amount of resources given to plans at any time.

        §12. Indemnification.
    Customer agrees that it shall defend, indemnify, save and hold us harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against us, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless any  liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with us; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from HPSolution.co.uk's server.

        §13. Disclaimer.
    We will not be responsible for any damages your business may suffer. We make no warranties of any kind, expressed or implied for services we provide. We disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by us and our employees.

        §14. Changes to the our Conditions.

    We strongly recommend that upon receipt of our offer, if you have decided to go ahead, you sign a copy of the contract and send it back to us. This should be done even with projects of small value. Whether or not we receive your signature, by either paying the required deposit or assigning HPSolution team to your project development you agree to the enclosed Conditions set in hereafter.

     
     
        §1. Authorisation.
    The above-named Client (hereinafter referred to as " Client ") is engaging HPSolution , as an independent contractor for the specific purpose of designing a World Wide Website (herein after referred to as " Web Design Project ") to be published on the Client's account on an Internet Service Provider (ISP)/Web Presence Provider (WPP) computer, herein after refer to as " Hosting Service ", or provided on diskette at the Client's option. The Client hereby authorises HPSolution to access this account, and authorises the Hosting Service to provide HPSolution team and its designers with "full access" to the Client's account, and any other programs needed for this Web Design Project that are included as part of the Client's service agreement/level. The Client also authorises HPSolution to submit the completed Web Design Project to major Web Search Engines.

        §2. Development.
    This Web Design Project will be developed using Macromedia® Dreamweaver." Browser Compatibility" - Designing a website to fully work in multiple browsers (and browser versions) can require considerable, extra effort. It could also involve creating multiple versions of code/pages. HPSolution represents and warrants that the website we design for you will work in:
    * Microsoft® Internet Explorer versions 5 and up
    * Netscape Navigator/Communicator version 4 and up
    While HPSolution team will make reasonable efforts to design a fully-functional website, HPSolution warrantee does not cover AOL, text-based browsers or requested special effects that we have advised you against. " Accessibility for People with Disabilities" - HPSolution standard is to meet at least half the currently recommended guidelines set for website development. Without sacrificing quality and design, we try to ensure that the content and functions we build into our websites are available to all visitors.

         §3. Assignment of Web Design Project.
    HPSolution reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to insure that the terms of this agreement are met as well as on-time completion.

       §4. Copyrights and Trademarks.
    The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to HPSolution team for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend HPSolution team and its subcontractors from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

        §5. Website Maintenance.
    This agreement allows for minor website maintenance to pages (only) over a period of 3months, including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guest books, discussion webs, navigation structure changes, repairs of attempted updates by Client. This service will start from the date the Client's website is available to be published to Client's hosting service. Major page code and/or graphics changes and additions will be charged at the hourly rates.

        §6. Completion Date.
    HPSolution team and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project giving the estimated completion Date at the time of signing the contract. Final Date Due is predicated on receipt of all materials to be supplied by Client. If the Client does not supply HPSolution team with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire deposit amount of the agreement shall be retained by HPSolution team as liquidated damages and the contract shall become null and void, at HPSolution's option, unless the Web Design Project is cancelled in writing by the Client prior to 45 days of the effective date of the agreement.

        §7. Project Delivery.
    The final website design project will be published to the Client's hosting service upon receipt of final payment or delivered via diskette upon the receipt of full payment.

    The Client assumes all responsibility for the use and functionality of the Web Design Project.

        §8. Electronic Commerce Laws.
    The Client agrees that the Client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Design Project or any other services contemplated herein, and will hold harmless, protect, and defend HPSolution team and its subcontractors from any claim, suit, penalty, tax, fine, penalty, or tariff arising from the Client's exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.

        §9. Web Design Project Copyright.
    Copyright to the finished web design site produced by HPSolution team will be owned by HPSolution. The Client will be assigned rights to use the Web Design Project as a website, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. HPSolution and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to HPSolution Services Website.

        §10. Payment Schedule.
    Payment for services provided hereby shall be made in accordance with the conditions contained in this contract and the Package Price, attached hereto and made a part of this agreement hereof. Notwithstanding any prices listed in literature or on Web pages, the Client and HPSolution agree that the services described in this contract, and the Package Price, shall be completed for the said amount of money. The Client agrees to pay to HPSolution an initial, non-refundable deposit of 50% of the estimated total cost upon execution of this agreement. Final payment is due prior to publication and/or delivery of the Website Design Project. All amounts must be in British Pound Sterling.

        §11. Legal Notice.
    Notwithstanding anything to the contrary contained in this contract, neither HPSolution nor any of its employees or agents, warrant that the functions contained in the Web Design Project will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will HPSolution team be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or your site visitor's computer or Internet software, even if HPSolution has been advised of the possibility of such damages.

        §12. This Agreement.
    This agreement constitutes the sole agreement between HPSolution and the Client regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorised by a written request signed by both Client and HPSolution. All services specified in this contract will be honoured for 12 months starting from the date the website was available to be published. Continued services after that time will require a new agreement.

        §13. Dispute Resolution.
    Any disputes in excess of four hundred (400) British Pounds arising out of this Agreement shall be submitted to binding arbitration before the Court of Justice or a mutually agreed upon arbitrator pursuant to the rules of the British Law. The Arbitrator's award shall be final, and judgment may be entered in any court having jurisdiction thereof. The Client shall pay all arbitration and court costs, reasonable attorney's fees, and legal interest on any award of judgemental in favour of HPSolution.

    The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organisation or business.

    This Agreement constitutes the entire understanding of the parties.

        §1. Introduction.
    This domain name registration agreement is submitted to HPSolution for the purpose of registering a domain name on the Internet. If this Registration Agreement is accepted and a domain name is registered in HPSolution's domain name database and assigned to the Registrant, Registrant agrees to be bound by the terms of this Registration Agreement.

        §2. Registration.
    You acknowledge and agree that we cannot guarantee that you will obtain a desired domain name registration, even if an inquiry indicates that a domain name is available at the time of your application for same. You represent that, to the best of your knowledge and belief, neither the registration of the domain name nor the manner in which it is directly or indirectly to be used, infringes upon the legal rights of a third party and that the domain name is not being registered for unlawful purpose.

        §3. Fees.
    As consideration for the Services, you agree to pay applicable fees prior to the effectiveness of a desired domain name registration or any renewal thereof. All fees payable hereunder are non-refundable even if your domain name registration is suspended, cancelled or transferred prior to the end of your current registration term.

        §4. Term.
    This Agreement will remain in effect during the term of your domain name registration as selected, recorded and paid for at the time of registration or any renewal thereof. Should the domain name be transferred to another registrar, the terms and conditions of this Agreement shall cease.

        §5. Modification of agreement.
    You acknowledge that the practice of registering and administering domain names is constantly evolving; therefore, you agree that HPSolution may modify this Agreement as is necessary to comply with its agreements with ICANN, a registry or any other entity or individual, as well as to adjust to changing circumstances. All amendments to this Agreement will be posted on our website. Your continued use of the domain name registered to you will constitute your acceptance of this Agreement with any revisions. If you do not agree to any change, you may request that your domain name registration be cancelled or transferred to a different accredited registrar.

        §6. Modification of your account.
    In order to change any of your account information with us, you must use the Account Identifier and Password that you selected when you opened your account with us. You agree to safeguard your Account Identifier and Password from any unauthorized use. In no event shall we be liable for the unauthorized use or misuse of your Account Identifier or Password.

        §7. No guaranty.
    You acknowledge that registration or reservation of your chosen domain name does not confer immunity from objection to the registration, reservation or use of the domain name.

        §8. Domain name disputes.
    You agree that, if the registration or reservation of your domain name is challenged by a third party, you will be subject to the provisions specified in the dispute policy adopted by the applicable registry. You agree that in the event a domain name dispute arises with any third party, you will indemnify and hold us harmless in all circumstances. If we are notified that a complaint has been filed with a judicial or administrative body regarding your domain name, we may, at our sole discretion, suspend your ability to use your domain name or to make modifications to your registration records.

        §9. Limitation of liability.
    You agree that our entire liability, and your exclusive remedy, with respect to any Service(s) provided under this Agreement and any breach of this Agreement is solely limited to the amount you paid for the initial registration of your domain name. HPSolution and its directors, employees, affiliates, subsidiaries, agents and third party providers, ICANN and the applicable registries shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use any of the Services or for the cost of procurement of substitute services. We disclaim any and all loss or liability resulting from, but not limited to: (1) loss or liability resulting from access delays or access interruptions; (2) loss or liability resulting from data non-delivery or data mis-delivery; (3) loss or liability resulting from acts of God; (4) loss or liability resulting from the unauthorized use or misuse of your account identifier or password; (5) loss or liability resulting from errors, omissions, or misstatements in any and all information or services(s) provided under this Agreement; (6) loss or liability resulting from the interruption of your Service.

        §10. Indemnity.
    You agree to release, indemnify, and hold HPSolution, its contractors, agents, employees, officers, directors and affiliates, ICANN, the applicable registries and their respective directors, officers, employees, agents and affiliates harmless from all liabilities, claims and expenses, including attorney's fees, of third parties arising out of or relating to the registration or use of the domain name registered in your name, whether used by yourself, licensed to a third party or pursuant to the Whois Privacy Service, including without limitation infringement by you or a third party with access to your Account Identifier and Password. You also agree to release, indemnify and hold us harmless in all circumstances arising from use of our service(s). When we are threatened with suit by a third party, we may seek written assurances from you concerning your promise to indemnify us; your failure to provide those assurances may be considered by us to be a breach of your Agreement and may result in the suspension or cancellation of your domain name. This indemnification obligation will survive the termination or expiration of this Agreement.

        §11. Transfer of ownership.
    The person named as Registrant on the Whois shall be the registered name holder. The person named as administrative contact at the time the controlling account identifier and password are secured shall be deemed the designate of the Registrant with the authority to manage the domain name. You agree that prior to transferring ownership of your domain name to another person (the “Transferee") you shall require the Transferee to agree, in writing to be bound by all the terms and conditions of this Agreement. If the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms and conditions in this Agreement, any such transfer will be null and void.

        §12. Renewals.
    Domain names are registered for a finite period of time. You will receive reminders immediately prior to the expiration of your registration inviting you to renew your domain name. In the event that you fail to renew your domain name in a timely fashion, your registration will expire and we may, at our discretion, elect to assume the registration and may hold it for our own account, delete it or we may sell it to a third party. You acknowledge and agree that your right and interest in a domain name ceases upon its expiration and that any expired domain name may be made available for registration by a third party.

        §13. Breach.
    You agree that failure to abide by any provision of this Agreement, any operating rule or policy or the Dispute Policy provided by us, may be considered by us to be a material breach and that we may provide a written notice, describing the breach, to you. If within thirty (30) calendar days of the date of such notice, you fail to provide evidence, which is reasonably satisfactory to us, that you have not breached your obligations under the Agreement, then we may delete the registration or reservation of your domain name. Any such breach by you shall not be deemed to be excused simply because we did not act earlier in response to that, or any other breach by you.

        §14. Disclaimer of warranties.
    You agree that your use of our Service(s) is solely at your own risk. You agree that such Service(s) is provided on an "as is," "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Service(s) will meet your requirements, or that the Service(s) will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Service(s) or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of our Service(s) is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data. No advice or information, whether oral or written, obtained by you from us or through the Service(s) shall create any warranty not expressly made herein.

        §15. Information.
    As part of the registration process, you agree to: (1) provide certain current, complete and accurate information about you as required by the registration process (your name, postal address, the domain name being registered) and (2) maintain and update this information as needed to keep it current, complete and accurate. All such information shall be referred to as account information ("Account Information"). You represent that the Account Information and all other statements put forth in your application are true, complete and accurate. Both HPSolution and each registry reserves the right to terminate your domain name registration if: (i) information provided by you or your agent is false, inaccurate, incomplete, unreliable, misleading or otherwise secretive; or (ii) you have failed to maintain, update and keep your Account Information true, current, complete, accurate and reliable. You acknowledge that a breach of this Section 3 will constitute a material breach of our Agreement, which will entitle either us or a registry to terminate this Agreement immediately upon such breach without any refund and without notice to you.

        §16. Disclosure and use of registration information.
    You agree and acknowledge that we will make domain name registration information you provide available to ICANN, to the registry administrators, law enforcement agencies and to other third parties as applicable. You further agree and acknowledge that we may make publicly available, or directly available to third party vendors, some or all, of the domain name registration information you provide, for purposes of inspection (such as through our Whois service) or other purposes as required or permitted by ICANN and applicable laws.
    You hereby consent to any and all such disclosures and use of, and guidelines, limits and restrictions on disclosure or use of, information provided by you in connection with the registration of a domain name (including any updates to such information), whether during or after the term of your registration of the domain name. You hereby irrevocably waive any and all claims and causes of action you may have arising from such disclosure or use of your domain name registration information by us. We will not process or maintain data about any identified or identifiable natural person that we obtain from you in a way incompatible with the purposes and other limitations which we describe in this Agreement.

        §17. Obligation to maintain Whois.
    Your wilful provision of inaccurate or unreliable information, your wilful failure promptly to update information provided to us, or any failure to respond to inquiries by us addressed to the email address of the registrant, the administrative, billing or technical contact appearing in the Whois directory with respect to a domain name concerning the accuracy of contact details associated with the registration shall constitute a material breach of this Agreement and be a basis for cancellation of the domain name registration. Any information collected by us concerning an identified or identifiable natural person (“Personal Data”) will be used in connection with the registration of your domain name(s) and for the purposes of this Agreement and as required or permitted by ICANN or an applicable registry policy.

        §18. Infancy.
    You attest that you are of legal age to enter into this Agreement.

        §19. Non-waiver.
    Our failure to require performance by you of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by us of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

        §20. Entirety.
    Registrant agrees that this Agreement and the HPSolution Policies are the complete and exclusive agreement between you as a name holder and HPSolution regarding the registration of Domain Name. This Agreement and the HPSolution Policies supersede all prior agreements and understandings, whether established by custom, practice, policy, or precedent.

        §21. Coverage.
    By completing, submitting and using our Service(s) the Registrant agrees that he/she is bound by the above Agreement.

        §22. Governing Law.
    Registrant agrees that this Registration Agreement shall be governed in all respects by and construed in accordance with the laws of United Kingdom. By completing, submitting and using our Service(s) the Registrant consents to the exclusive jurisdiction and venue of United Kingdom.
